Corporate Gifting Service Agreement
Parties
Agreement Identification

Custom Branding & IP

Client grants V&V a limited licence to use Client's logo, trademarks, and brand assets solely for production of the gifting programme described herein. V&V retains ownership of all fragrance formulations, packaging designs, and production methodologies.

Cancellation & Refunds

Orders cancelled within 48 hours of placement: full refund of deposit.

Orders cancelled after production has commenced: deposit is non-refundable. Client is responsible for cost of materials already sourced.

V&V will replace any products damaged in transit upon provision of photographic evidence within 5 business days of delivery.

Limitation of Liability

V&V's total liability under this Agreement shall not exceed the total amount paid by Client for the relevant order. V&V shall not be liable for any indirect, consequential, or punitive damages.

Client acknowledges that fragrance products may cause reactions in individuals with specific sensitivities. V&V has provided safety data and IFRA-compliant formulations. Client accepts responsibility for any known recipient allergies or sensitivities.

7.0
Governing Law

This Agreement shall be governed by the laws of the Province of [Ontario], Canada. Any disputes shall be resolved by binding arbitration under the Arbitration Act, 1991 (Ontario).

Wholesale Distribution Agreement
Parties
Agreement Identification

This Wholesale Distribution Agreement is entered into as of [DATE] between Velour & Vellum Inc. ("Supplier") and [RETAILER NAME] ("Retailer").

Grant of Wholesale Rights

Supplier grants Retailer the non-exclusive right to purchase and resell V&V products listed in Schedule A (the "Products") within the territory of [Canada / Province / City / defined area].

Exclusivity Option: If marked as exclusive in Schedule A, Supplier agrees not to supply the same Products to other retailers within [X km radius] of Retailer's primary retail location during the exclusivity term.

Pricing & Minimum Orders

Opening Order Minimum: $500 CAD. Reorder Minimum: $250 CAD.

Payment Terms: Net 30 days from invoice date for approved accounts. All new accounts: prepayment or credit card on file.

Retailer agrees to maintain SRP within 10% of Supplier's stated SRP. Deep discounting without prior written consent will result in termination of wholesale relationship.

Brand Standards

Retailer agrees to display and merchandise Products in a manner consistent with V&V's luxury positioning. Products must not be placed alongside brands that would damage V&V's brand image (as determined by Supplier, acting reasonably).

Retailer may not alter, obscure, or remove any V&V branding, labelling, or safety information from Products.

Any use of V&V name, images, or trademarks in Retailer's marketing requires prior written approval from Supplier.

4.0
Term & Termination

This Agreement commences on the date of signing and continues for 12 months, renewing automatically unless terminated with 30 days written notice by either party.

Either party may terminate immediately for material breach, insolvency, or failure to pay.

5.0
Returns & Defects

Retailer may return unsold Products within 90 days of opening order only, in original condition, for credit toward future orders (no cash refunds). Defective Products will be replaced at Supplier's cost.

Trade Discount & Benefits

(b) 10% referral commission on all purchases made by clients referred by Trade Partner using Trade Partner's unique referral code, for a period of 12 months from client's first purchase.

(c) Priority access to new collections and limited releases before public launch.

(d) Sample programme: up to $150 CAD of samples per quarter at cost price for client presentation use.

Trade Partner Obligations

Trade Partner agrees to: (a) use V&V products exclusively for their own client projects or personal use — not for resale through any retail channel without separate wholesale agreement; (b) accurately represent V&V products to clients; (c) maintain active membership in qualifying professional design association throughout the term of this agreement; (d) not share trade discount codes or access with non-qualifying parties.

Commission Payment

Referral commissions are calculated on net revenue received by V&V (excluding shipping and taxes) and paid quarterly via [e-transfer / PayPal / cheque] within 30 days of quarter end. Minimum payout threshold: $50 CAD.

Term & Termination

This Agreement is ongoing and renews annually, subject to Trade Partner maintaining qualifying professional membership. V&V reserves the right to terminate or modify trade benefits with 30 days' notice. Termination for cause (misuse of trade account) is immediate.

Health, Safety & Liability

V&V warrants all fragrance products are IFRA-compliant and safety-tested. V&V carries general liability insurance of not less than $2,000,000 CAD per occurrence. V&V is not liable for guest reactions arising from Client's failure to disclose known restrictions or allergies. Client shall indemnify V&V against claims arising from Client's negligence or breach of this Agreement.
